Associated companyHalo Media (Pty) Ltd, registration number 2024/543117, VAT number 4110259894, 28 Ashwin Avenue, Westville, KwaZulu-Natal, 3629, South Africa. Halo Media (Pty) Ltd contracts with clients in its own name.

CommsKit Ltd is the contracting entity for all new client engagements. Halo Media (Pty) Ltd is the associated South African company. It provides production and delivery capability, contracts with clients in its own name, and remains the contracting party for a number of legacy engagements entered into before the CommsKit™ brand was established. Group structure does not change this company’s place of incorporation: CommsKit Ltd is an English company and these Terms are governed by English law.

Description of our services. CommsKit™ is a brand-led, managed internal communications service for large, distributed, mixed-access workforces. Our suite comprises the Engage, Connect, Loop, Onboard, Boost and Kits modules. The Website provides information about that service. It is not a software platform, and no part of the service is purchased, activated or delivered through this Website.

2. Acceptance of these terms

By accessing or using the Website you agree to be bound by these Terms & Conditions (the Terms), together with our Privacy Policy, AI Policy and Cookie Notice, which are incorporated by reference. If you do not agree to the Terms, please do not use the Website.

If you use the Website on behalf of an organisation, you confirm that you have authority to bind that organisation, and “you” means that organisation.

3. Changes to these terms

We may amend these Terms from time to time. The version published on the Website at the time you access it is the version that applies to your use. The “Last updated” date above records when the Terms were last changed. Continued use of the Website after a change constitutes acceptance of the amended Terms.

4. What this Website is – and is not

The Website is provided for general information and enquiry purposes only.

Nothing on the Website constitutes:

  • an offer capable of acceptance, or a binding proposal to supply any service;
  • professional, legal, human resources, safety, compliance or financial advice;
  • a representation as to the results, engagement levels, retention outcomes or other effects that any CommsKit™ module will produce.

Descriptions of our modules, service tiers, deliverables and commercial models are indicative and may change. The scope, pricing, service levels and terms that apply to any engagement are those set out in the signed agreement between you and CommsKit™.

5. Relationship to client agreements

Where you have entered into a separate written agreement with us – including a services agreement, statement of work, subscription schedule, order form or data processing agreement – that agreement governs the supply of services and prevails over these Terms to the extent of any conflict.

New client engagements are contracted with CommsKit Ltd. Halo Media (Pty) Ltd contracts in its own name and remains the contracting party for a number of legacy engagements; those engagements continue to be governed by the agreement signed with that company. Your signed agreement identifies the contracting entity, the governing law and the terms that apply to that relationship.

These Terms govern your use of the Website only. They do not vary, limit or extend the rights and obligations recorded in any client agreement.

6. Permitted use

You may view, download and print content from the Website for your own internal, non-commercial reference, provided you retain all copyright and proprietary notices.

You may not:

  • copy, reproduce, republish, distribute, sell, licence or commercially exploit any part of the Website without our prior written consent;
  • use the Website in any way that is unlawful, fraudulent or harmful, or in connection with any unlawful purpose;
  • use automated means – including scraping, crawling, harvesting or data-mining tools – to extract content or data from the Website, except for search engine indexing conducted in accordance with our robots.txt;
  • use Website content, or any personal data obtained from it, to compile a database, mailing list or prospecting list;
  • introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful;
  • attempt to gain unauthorised access to the Website, the server on which it is stored, or any connected server, computer or database;
  • interfere with, damage or disrupt the Website or any network or equipment connected to it;
  • reverse engineer, decompile or attempt to derive the source code of any part of the Website;
  • frame, mirror or otherwise present the Website as your own, or remove or obscure any branding, notices or attribution.

Certain of these acts may constitute offences under the Computer Misuse Act 1990 and, where a user is located in South Africa, the Cybercrimes Act 19 of 2020. We will report suspected offences to the relevant authorities and will co-operate with them, including by disclosing your identity where we are lawfully required or permitted to do so.

7. Intellectual property

All intellectual property rights in the Website and its content – including text, copy, images, photography, video, illustrations, layout, design, structure, code, look and feel, and the compilation of all of it – are owned by or licensed to CommsKit Ltd.

The CommsKit logo and device is a registered trade mark of CommsKit Ltd. The word mark CommsKit™, together with Engage, Connect, CommsLOOP, Onboard, Boost, BrandKit, DesignKit, FinKit and AI Kit, are unregistered trade marks and trading styles of CommsKit Ltd, in which we assert rights.

Nothing on the Website grants you any licence or right to use any of our trade marks, logos or brand assets without our prior written permission.

Third-party marks. Client and partner names and logos displayed on the Website remain the property of their respective owners. We display them only where the client’s signed agreement with us permits us to do so; where it does not, we do not display them. Their display does not imply any endorsement, partnership or continuing relationship unless expressly stated.

8. Enquiries, submissions and material you send us

Where you submit an enquiry, complete a form, or otherwise send us information through the Website:

  • you confirm that the information you provide is accurate and that you are entitled to provide it;
  • we will handle personal data in accordance with our Privacy Policy;
  • any idea, suggestion, feedback or other non-personal material you send us is provided on a non-confidential basis, and you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use it for any purpose without obligation or attribution;
  • we are not obliged to respond to, act on or retain any submission.

Please do not send us confidential or commercially sensitive information, special category personal data, or employee data through Website forms or unencrypted email.

9. Availability of the Website

We aim to keep the Website available, but we do not warrant that it will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Access may be suspended, withdrawn or restricted at any time without notice, including for maintenance, upgrades or reasons beyond our control.

You are responsible for configuring your own information technology and platform to access the Website, and for using your own virus protection.

10. Disclaimers

To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available”, without warranties, representations or conditions of any kind, whether express or implied, including implied terms as to satisfactory quality, fitness for a particular purpose, accuracy or non-infringement.

While we take reasonable care in preparing Website content, we do not warrant that it is accurate, complete or current. Statistics, research findings and third-party data are reproduced from the sources cited and we do not independently verify them. You should not rely on Website content as the sole basis for any decision.

11. Third-party websites and content

The Website may contain links to third-party websites, resources and content. Those links are provided for convenience only. We do not control, endorse, monitor or accept responsibility for third-party sites or their content, availability, security or privacy practices. Accessing a linked site is at your own risk and subject to that site’s own terms.

12. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, and to the fullest extent permitted by law:

  • we exclude all liability arising from your use of, or inability to use, the Website, or from reliance on any Website content;
  • we will not be liable for any indirect or consequential loss, or for loss of profit, revenue, business, contracts, anticipated savings, goodwill, data or reputation, however arising;
  • our total aggregate liability in connection with the Website, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to GBP 1,000 in aggregate.

Nothing in this clause limits liability arising under a signed client agreement, which is governed by the liability provisions of that agreement.

13. Indemnity

You indemnify us against all claims, losses, damages, costs and expenses (including reasonable legal costs) arising from your breach of these Terms, your unlawful use of the Website, or your infringement of any third-party right in connection with your use of the Website.

14. Consumer rights

Nothing in these Terms excludes, limits or waives any right you may have that cannot lawfully be excluded, limited or waived – including rights under the Consumer Rights Act 2015 where you are a consumer.

Our services are directed at organisations rather than individual consumers, and most users of the Website access it in a business capacity.

15. Privacy, AI and cookies

Our handling of personal data is set out in our Privacy Policy at https://commskit.io/privacy-policy/, which forms part of these Terms.

Our use of artificial intelligence, and the limits we apply to it, are set out in our AI Policy at https://commskit.io/ai-policy/, which also forms part of these Terms. AI features within our service modules, including CommsLOOP, are governed by their own product documentation and by your signed client agreement, not by these Terms.

The Website uses cookies and similar technologies, including analytics cookies and cookies set by embedded third-party tools. How we use them, and how you can control them, is set out in our Cookie Notice at https://commskit.io/cookie-notice/, which also forms part of these Terms.

16. Electronic communications

You consent to receiving communications from us electronically in connection with your use of the Website and any enquiry you submit. You agree that electronic communications satisfy any legal requirement that a communication be in writing.

17. General

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force.

No waiver. Our failure or delay in enforcing any provision is not a waiver of that or any other provision.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms. We may do so on notice, including in connection with a restructure, merger or sale of business.

Whole agreement. These Terms, together with the Privacy Policy, AI Policy and Cookie Notice, constitute the whole agreement between you and us in relation to your use of the Website, and supersede all prior representations and understandings relating to it.

Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its provisions.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

18. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them – including non-contractual disputes and claims – are governed by the law of England and Wales.

You agree that the courts of England and Wales have non-exclusive jurisdiction in respect of any proceedings arising from these Terms.

If you are a consumer resident outside England and Wales, this clause does not deprive you of the protection of the mandatory consumer laws of your country of residence, or of your right to bring proceedings in the courts of that country.

19. Complaints and contact

If you have a complaint about the Website or about how we have handled your information, please contact us first so that we can try to resolve it:
